PARTNERSHIP AGREEMENT
between the Not-for-Profit Organization “Foundation for Development of the Centre of Research and Commercialization of New Technologies” and the Accounts Chamber of the Russian Federation
Not-for-profit organization “Foundation for Development of the Centre of Research and Commercialization of New Technologies” (hereafter referred to as the Foundation), represented by President Viktor F. Vekselberg, acting on the basis of the Charter, on the one part, and the Accounts Chamber of the Russian Federation (hereafter referred to as the Accounts Chamber), represented by Chairman Sergey V. Stepashin, acting on the basis of Federal Law No. 4-FZ of January 11, 1995, On the Accounts Chamber of the Russian Federation, on the other part, hereafter referred to as the Parties,
whereas the Foundation is supported by the federal budget for running events related to building and ensuring operation of the innovation centre Skolkovo ,
guided by the objective to create a mechanism for effective and reasonable application of funds received from the federal budget, desiring to provide a control system to prevent improper and ineffective application of the funds, acting within their competence, have entered into this Agreement on the following.
Article 1. Subject
The subject hereof is cooperation between the Parties aimed at creation of a mechanism for effective and reasonable application by the Foundation and its subsidiaries of funds received from the federal budget for running events related to building and ensuring operation of the innovation centre Skolkovo.
Article 2. Lines of Cooperation
Within their competence, the Parties shall cooperate and coordinate the activity in the following main lines:
a) improvement of the procedure for preparation of the Foundation’s accounts in respect of funds received from the federal budget for running events related to building and ensuring operation of the innovation centre Skolkovo;
b) improvement of internal financial control arrangements and exercise in the Foundation to ensure intended and effective spending funds received from the federal budget for running events related to building and ensuring operation of the innovation centre Skolkovo;
c) improvement of the procedure for proper control by the Foundation of intended and effective spending funds transferred in the form of grants to participants of the project on building and ensuring operation of the innovation centre Skolkovo;
d) discussion of certain issues associated with classification of expected spending funds received from the federal budget for running events related to building and ensuring operation of the innovation centre Skolkovo in respect of its intended and efficient nature;
e) other issues of mutual interest.
Article 3. Procedure for Cooperation between the Parties
1. In compliance with the laws of the Russian Federation and their internal documents regulating their activity, the Parties shall perform joint work aimed at performance hereof.
2. The Parties may run various joint events (working meetings, topical seminars, conferences, round tables, etc.) to select proposals on issues of mutual interest.
3. By mutual agreement, any Party may send its representatives to participate in events run by the other Party.
4. The Parties shall hold consultations on issues within their competence and exchange materials related to their activity.
5. The Parties shall arrange information exchange on issues of mutual interest. Neither Party shall disclose information received under this Agreement if the other Party finds it undesirable. No Party shall provide third parties with information received in the course of performance hereof without the written consent of the other Party. The Parties shall take measures to ensure reliability and objectivity of the provided information and, when necessary, correct and amend it without delay. The Parties shall exchange information on a mutual assistance (for nil) basis consideration and in compliance with the requirements of the laws of the Russian Federation on information protection.
6. The Parties may cooperate in other agreed forms.
Article 4. Final Provisions
1. The Agreement shall be effective from the date of its signature by the Parties and it shall remain in force until any Party notifies of its wish to terminate it.
2. The Agreement may be terminated by the initiative of either Party. The initiating Party shall notify the other Party at least three months prior to the expected date of termination hereof.
3. All disputes and disagreements which may arise from this Agreement shall be settled in an amicable way.
4. All amendments hereto shall be documented in form of supplementary agreement between the Parties.
5. The Agreement is made in two copies of equal legal force, one for each Party.

AGREEMENT on Cooperation between the Federal Customs Service and Not-for-profit Organization "Foundation for Development of the Centre of Research and Commercialization of New Technologies"
The Federal Customs Service, represented by Andrey Yu. Belyaninov, FCS Head, acting on the basis of the Regulation on Federal Customs Service approved by the Government of the Russian Federation Directive No. 459 of July 26, 2006, on the one part, and Not-for-profit Organization "Foundation for Development of the Centre of Research and Commercialization of New Technologies" (hereafter referred to as the Foundation), represented by Viktor F. Vekselberg, President of the Foundation, acting on the basis of the Charter approved by decision of the Foundation founders (minutes No. 1 dated May 14, 2010), on the other part, hereafter referred to as the Parties, having regard to the necessity to build and ensure operation of a territorially detached complex for research and development and commercialization of the results (the innovation centre Skolkovo), have entered into this Agreement on the following:
1. General
1. The purpose hereof is to determine main lines of cooperation between the Parties on issues of mutual interest in connection with the activity of the innovation center Skolkovo (hereafter referred to as the Centre) with taking into account provisions of Federal Law No. 244-FZ of September 28, 2010, On the Innovation Centre Skolkovo (hereafter referred to as the Law).
2. The Parties’ activity in implementation of provisions hereof is based on the Law and other normative legal acts of the Russian Federation.
2. Main Lines of Cooperation between the Parties
1. Within the scope of their competence, in compliance with normative legal acts of the Russian Federation and on the basis hereof, the Parties shall:
- cooperate on issues related to compensation to persons which participate in the Centre’s creation and operation for expenses for customs duty in compliance with the Law and the budget legislation of the Russian Federation;
- interchange information on the inclusion of customs representatives into the register and their deregistration, introduction of changes declared by customs representatives at the moment of registration or in attached documents, suspension and renewal of the activity as a customs representative and on presentation of accounts to customs authorities, including with use of informational technologies, in compliance with customs laws of the Customs Union and laws of the Russian Federation on customs affairs;
- interchange information, particularly information on expected customs payments to be compensated during the coming year and on background materials of mutual interest which are necessary for Parties to implement the Law;
- exchange of working experience through meetings, conferences and seminars.
3. Measures to Perform the Agreement
1. The Parties shall take measures to perform the Agreement in compliance with normative legal acts of the Russian Federation and within the scope of their competence.
2. For the purposes of performance hereof the Parties shall:
- establish the procedure for and the form of cooperation between the Parties provided for by this Agreement and separate minutes in compliance with normative legal acts of the Russian Federation;
- consider major issues related to performance hereof on a regular basis.
3. The Parties shall take measures:
- to control implementation of decisions made for cooperation under this Agreement;
- to ensure reliability and objectivity of information provided under this Agreement and, when necessary, correct and amend it without delay;
- to notify the interested Party of the failure to provide the information in due time and to specify the reasons for it;
- to use the information provided by the other Party only within the scope of performance hereof.
4. No Party shall provide any third parties with the information received under this Agreement without written consent of the other Party.
4. Final Provisions
1. The Parties shall implement provisions hereof without any mutual financial commitments and settlements.
2. The Agreement shall be of unlimited duration and it shall come into force upon signature.
3. The Agreement may be terminated at the initiative of any Party.
The Party which initiates termination hereof shall send a written notification to the other Party at least 3 months earlier than the expected date of termination hereof.
4. The Agreement may be amended through signing by the Parties of supplementary agreements.
5. The Agreement is made in two copies of equal legal force, one for each Party.

AGREEMENT on Cooperation between the Ministry of the Russian Federation for Civil Defense, Emergencies and Elimination of Consequences of Natural Disasters and Not-for-profit Organization "Foundation for Development of the Centre of Research and Commercialization of New Technologies"
The Ministry of the Russian Federation for Civil Defense, Emergencies and Elimination of Consequences of Natural Disasters (hereafter referred to as EMERCOM of Russia), represented by Sergey K. Shoigu, Minister of the Russian Federation for Civil Defense, Emergencies and Elimination of Consequences of Natural Disasters, acting on the basis of Regulation of the Ministry of the Russian Federation for Civil Defense, Emergencies and Elimination of Consequences of Natural Disasters approved by Decree of the President of the Russian Federation No. 868 of July 11, 2004, on the one part, and Not-for-profit Organization "Foundation for Development of the Centre of Research and Commercialization of New Technologies" (hereafter referred to as the Foundation), represented by Viktor F. Vekselberg, President of the Foundation, acting on the basis of the Charter, on the other part, hereafter referred to as the Parties, having regard to the necessity to build and ensure operation of a territorially detached complex for research and development and commercialization of the results (hereafter referred to as the innovation centre Skolkovo), have entered into this Agreement on the following:
1. General
1.1. The purpose hereof is to implement Federal Law No. 244-FZ of September 28, 2010, On the Innovation Centre Skolkovo (hereafter referred to as the Law) and to determine the main lines of cooperation between the Parties on issues of mutual interest in connection with the activity of the innovation center Skolkovo.
1.2. The Parties’ activity in implementation of provisions hereof is based on the Law and other normative legal acts of the Russian Federation.
2. Procedure for Cooperation between the Parties
2.1. Within the scope of their competence, in compliance with normative legal acts of the Russian Federation and on the basis hereof, the Parties shall maintain cooperation in:
- information exchange, particularly methodical and background information of mutual interest which is necessary for the Parties to implement the Law;
- building of modern safety system and infrastructure on the territory of the innovation centre Skolkovo;
- determination of features of technical regulation in the territory of the innovation centre Skolkovo in compliance with the Law, article 13;
- taking measures intended to build the required departments of EMERCOM of Russia in the territory of the innovation centre Skolkovo;
- running joint scientific and technical events focused on further development and adoption of information telecommunication technologies for anti-crisis management system, implementation of national safety system for vital activity security, particularly space technologies to monitor natural hazards;
- cross-utilization of innovation developments to design modern machinery, equipment and life safety technologies to ensure safety of the public in the Russian Federation;
- working experience exchange, particularly through joint scientific information activity (meetings, conferences, seminars and exhibitions).
2.2. The Parties may cooperate on issues not regulated herein on the basis of supplementary agreements hereto in compliance with normative legal acts of the Russian Federation.
3. Procedure for Performance of the Agreement
3.1. The Parties shall take measures to perform the Agreement in compliance with normative legal acts of the Russian Federation and within the scope of their competence.
3.2. For the purposes of performance hereof the Parties shall:
- establish the form of cooperation provided for by the Agreement;
- consider major issues related to performance hereof on a quarterly basis;
- control implementation of decisions made within the scope of performance hereof and reliability, objectivity and proper use of the information provided by the Parties within the scope of performance hereof.
3.3. No Party shall provide any third parties with the information received under this Agreement without written consent of the other Party.
4. Final Provisions
4.1. Separate additional minutes of the Parties may provide for other forms of their participation in performance hereof in compliance with normative legal acts of the Russian Federation.
4.2. The Parties shall implement provisions hereof on a free-of-charge basis.
4.3. The Agreement shall be of unlimited duration and it shall come into force upon signature.
4.4. The Agreement may be terminated at the initiative of any Party.
The Party which initiates termination hereof shall notify the other Party of the termination in writing.
4.5. The Agreement may be amended through signing by the Parties of supplementary agreements.
4.6. The Agreement is made in two copies of equal legal force, one for each Party.

AGREEMENT on Cooperation between the Russian Federal Space Agency and Not-for-profit Organization "Foundation for Development of the Centre of Research and Commercialization of New Technologies"
The Russian Federal Space Agency (hereafter referred to as Roscosmos), represented by A. N. Perminov, Head of the Russian Federal Space Agency, acting on the basis of Regulation on Federal Space Agency approved by Decree of the Government of the Russian Federation No. 314 of June, 26, 2004, on the one part, and Not-for-profit Organization "Foundation for Development of the Centre of Research and Commercialization of New Technologies" (hereafter referred to as the Foundation), represented by Viktor F. Vekselberg, President of the Foundation, acting on the basis of the Charter approved by decision of the Foundation founders (minutes No. 1 dated May 14, 2010), on the other part, hereafter referred to as the Parties, have entered into this Agreement on the following:
1. General
1.1. The purpose hereof is to determine main lines of cooperation between the Parties on issues of mutual interest for the development purposes and in connection with the activity of the innovation centre Skolkovo (hereafter referred to as the Centre) in research, namely: space-based technologies and, first of all, telecommunications and navigation systems (including design of ground infrastructure) with taking into account provisions of Federal Law No. 244-FZ of September 28, 2010, On the Innovation Centre Skolkovo (hereafter referred to as the Law).
1.2. The Parties’ activity in implementation of provisions hereof is based on the Law, other normative legal acts of the Russian Federation and normative acts of Roscosmos.
II. Performance of the Agreement
2.1. For the purposes of performance hereof, the Parties shall:
2.1.1. form joint working, expert, advisory and other bodies (councils, commissions, groups) from specialists of the Parties and engage, when necessary, outsourced specialists;
2.1.2. run joint scientific, practical, topical congresses, conferences, seminars, exhibitions and other events;
2.1.3. engage in cooperation organizations which carry out their activity within the Skolkovo project and organizations managed by Roscosmos;
2.1.4. jointly prepare and present proposals on improvement of legislation of the Russian Federation in accordance with the established procedure;
2.1.5. jointly participate in international cooperation on issues related to performance hereof.
2.2. The Parties shall organize and run joint events aimed at:
- further development of structures which carry out research activity in the field of space technologies, particularly design and commercialization of the results;
- ensure cooperation between such structures, Roscosmos and other executive state government bodies;
- further attraction of investments with the view to build and ensure operation of the innovation centre Skolkovo and to execute the project on research of space technologies;
- determine priorities in innovation development of space technologies, improvement in workforce capacity of the respective divisions of the Foundation;
- ensure participation of Roscosmos as an official expert to consult Skolkovo participants in the field of space technologies, particularly to develop regulatory framework and standards;
- increase importance of the Skolkovo project, particularly on the international level;
- study and analyze the activities to execute the Skolkovo project in the field of space technologies, practice of application of respective normative legal acts;
- monitor scientific discoveries, inventions and researches in the field of space technologies;
- render assistance to Russian and foreign organizations and entrepreneurs (Skolkovo participants) in accordance with the procedure established by law in patenting inventions, useful models, designs, registering trade marks.
2.3. When necessary, the Parties shall jointly run events aimed at forming a representative office (branch) of Roscosmos in the territory of the innovation centre Skolkovo.
2.4. The Parties may cooperate on issues not regulated herein on the basis of supplementary minutes hereto.
III. Final Provisions
3.1. No Party shall provide any third parties with information received under this Agreement without written consent of the other Party.
3.2. The Parties shall take measures to ensure reliability and objectivity of the information provided and, when necessary, correct and amend it without delay
3.3. The Parties shall carry out a coordinated information policy in respect of provisions and implementation hereof.
3.4. All matters of difference between the Parties in relation to interpretation and application hereof shall be settled by the Parties through mutual consultations.
3.5. The Agreement shall be of unlimited duration and it shall come into force upon signature.
3.6. The Agreement is made in two copies of equal legal force, one for each Party.

Vekselberg, President of the Foundation, acting on the basis of the Charter, hereafter referred to as the Parties, having regard to the necessity to build and ensure operation of a territorially detached complex for research and development and commercialization of the results (the innovation centre Skolkovo), have entered into this Agreement on the following:
1. Purpose of Agreement
1.1. The purpose hereof is to determine main lines of cooperation between the Parties in the innovation centre Skolkovo (hereafter referred to as the Centre) creation and operation with taking into account provisions of Federal Law No. 244-FZ of September 28, 2010, On the Innovation Centre Skolkovo (hereafter referred to as the Law).
1.2. The Parties’ activity in implementation of provisions hereof is based on the Law, other federal laws, normative legal acts of the Russian Federation.
2. Subject of Agreement
The following forms the subject hereof:
- information cooperation of the Parties in the field of state registration of rights to immovable property and transactions involving such property and cadastral registration of immovable property located in the territory of the Centre;
- joint participation of the Parties in projects in development of Russian geospatial data infrastructure, particularly on the basis of cloud technologies, within the Centre’s infrastructure, application of geo information systems and advanced technologies, development of a 3D-cadastre model and best territory management practices.
3. Procedure for Cooperation between the Parties
For the purposes of performance hereof:
3.1. The Parties shall form a joint Working Group to perform the Agreement which shall consist of representatives of the Foundation, representatives of the Russian State Register, management of the Russian State Register for Moscow Oblast and lower organizations of the Russian State Register.
3.2. The composition of the Working Group to perform the working Agreement and regulation of the Working Group to perform the Agreement (if needed) shall be approved by the Parties.
The Russian State Register shall appoint (establish) officials (specialists) of the central office of the Russian State Register, management of the Russian State Register for Moscow Oblast and lower organizations of the Russian State Register which shall be responsible for direct cooperation with authorized officials (specialists) of the Foundation in state registration of rights to immovable property and transactions involving such property and cadastral registration of immovable property located in the territory of the Centre.
3.3. The Party shall exchange information, background and methodical materials.
3.4. The Party shall exchange working experience, particularly through working meetings, sessions, conferences and seminars.
3.5. The Party shall take measures:
- to control implementation of decisions made for the purposes of performance hereof;
- to ensure reliability and relevance of the information provided;
- to notify the interested Party of the failure to provide the information in due time and to specify the reasons for it;
- to use the information provided by the other Party under the Agreement only within the scope of performance hereof.
3.6. No Party shall provide any third parties with information received under this Agreement without written consent of the other Party.
4. Final Provisions
4.1. Separate additional minutes of the Parties may provide for certain forms of their participation in performance hereof in compliance with normative legal acts of the Russian Federation.
4.2. The Parties shall implement provisions hereof without any mutual financial commitments and settlements.

hereafter collectively referred to as the Parties and separately the Party,
have entered into this Agreement on the following:
1. The Parties have agreed that the Skolkovo Foundation will join to the Agreement on cooperation between institutes for development and interested organizations in continuous financing of innovation projects throughout the innovation cycle concluded by Vnesheconombank, OJSC “Russian Venture Company”, OJSC “RUSNANO” (assignee of State Corporation “Rosnanotekh”), OJSC “RosBD”, the Fund for Assistance, CJSC “MICEX”, OPORA RUSSIA, RVCA and Rosmolodezh dated April 6, 2010 (hereafter referred to as the Agreement) as a full Party thereof. The Skolkovo Foundation confirms that it has received the copy of the Agreement.
2. In view of the above mentioned, the Parties have agreed to amend the Agreement as follows:
2.1. Preliminary statements of the Agreement shall be amended by adding after words “approved by Decree of the Government of the Russian Federation No. 409 of May 29, 2008” the words “Not-for-profit Organization “Foundation for Development of the Centre of Research and Commercialization of New Technologies” (hereafter referred to as the Skolkovo Foundation) represented by President Viktor F. Vekselberg, acting on the basis of the Charter,”
2.2. Article 6 shall be amended by adding the following:
The Skolkovo Foundation shall:
- together with the Parties, prepare proposals on forming a complete cycle of innovation process that involves research, development and commercialization of the results in the areas established in part 8 of article 10 of Federal Law No. 244-FZ of September 28, 2010, On the Innovation Centre Skolkovo, and other activities required to execute research, developments and commercialization of the results and serves as a proving ground to test them throughout the country;
- consider applications of the Innovative Companies (innovation projects) submitted by the Parties for possible award of the participant status of the innovation centre Skolkovo creation and project operation and rendering financial support in the form of grants to the companies in accordance with the terms and lines of financing of the Skolkovo Foundation;
- transfer the project to other Parties which can provide financial support to it when the project considered by the Skolkovo Foundation cannot be supported due to its failure to conform to the financing policy of the Skolkovo Foundation or for other reasons not related to its inadequate quality;
- provide information for consideration by the Parties of projects of the Innovative Companies (participants of the innovation centre Skolkovo creation and operation project) under implementation and/or those promising for implementation and assist in design of optimal financing structure for these projects;
- design mechanisms and forms of joint financial and non-financial support of innovation projects and cooperation in development and commercialization of innovations together with participants of the Agreement;
- design, approve and introduce education program and high performance technologies for training specialists, particularly researchers, innovative entrepreneurs and managers, in the areas established in part 8 of article 10 of Federal Law No. 244-FZ of September 28, 2010, On the Innovation Centre Skolkovo;
- assist in furthering initiatives to promote protection of rights to results of intellectual activity, develop innovation product standardization and certification standards;

AGREEMENT on Cooperation in Infrastructure and Stimulation of Demand for Innovations
The Skolkovo Foundation, represented by Vice-President Stanislav A. Naumov, acting on the basis of the Charter, and not-for-profit partnership for advancement of industrial park industry "Association of Industrial Parks", represented by M. Yu. Ivanov, acting on the basis of the Charter, hereafter collectively referred to as the Parties, have agreed on the following.
1. The Parties shall serve as long-term partners in creation and development of industrial infrastructure in the territory of the Russian Federation and expansion of domestic demand for innovations.
2. The Parties have determined the following to be the most promising lines of cooperation:
- selection and preparation of industrial parks to locate industrial productions (or partial cycles of these productions) of the Skolkovo Foundation residents and to create the optimal conditions for their development;
- arrangement of cooperation between the Skolkovo Foundation and Skolkovo residents and management companies of industrial parks and their residents for the purposes of further adoption (sale) of developments and final innovation products;
- co-design of production cluster concept and complex production cycles with specific requirements to infrastructure and resources;
- co-attraction of investments (including foreign investments) in infrastructural projects in the territory of the Russian Federation related to organization of new high tech experimental and industrial productions.
3. The Agreement reflects the intents of the Parties to cooperate and imposes no financial or other obligations.

The Eurasian Economic Community
Eurasian Economic Community (EurAsEC)
The purpose of the Memorandum is to determine organizational principals of work of the Foundation with executive bodies of the EurAsEC and the EurAsEC Centre for High Technologies.
The Foundation gets the opportunity, with time and where possible, to become a coordinator of innovation programs within the EurAsEC, and companies of CIS countries which carry out the most promising projects may become the Project participants.
The EurAsEC Centre for High Technologies may take place or place its representative offices in the separate territory of Skolkovo.
Possible formation of identical tax and legal bases for companies and organizations of the member states of the EurAsEC and ensuring cooperation within the Customs Union are of the utmost interest for the EurAsEC.
So far, the Project participant are partnering with the member states of the EurAsEC. For example, UniScan-Research LLC, the Skolkovo project participant which develops a small-sized long-lifetime independent power supply, partners with the National Nuclear Centre of the Republic of Kazakhstan.
For reference: the decision to establish the EurAsEC Centre for High Technologies was made at the highest level on February 4, 2009.
The Centre will operate through enhancement of national innovation systems on the basis of integration of scientific and technical potential and industrial and technological potential, cooperation development, harmonization of innovation activity legislation.
The following were established to be the main goals of the Centre for High Technologies:
- assistance in formation and implementation of agreed innovation policy of the Centre participating countries;
- coordination of activities to form the Eurasian innovation system and develop infrastructure of R&D and innovation activity of the countries that participate in the Centre creation and operation;
- assistance in formation of financing mechanisms for innovation programs and project and creation of conditions for attraction of investments in the innovation area.
The Centre managing bodies involve the supervisory board and the board of directors. The supervisory board consists of heads of ministries and agencies of the member states of the EurAsEC and the Republic of Armenia that are responsible for implementation of national innovation policy and international cooperation in this area and representatives of the secretariat of the Integration Committee of the EurAsEC.
The board of directors consists of heads of organizations authorized by governments of the states to participate in the Centre activity and Executive Director of the Centre.
EurAsEC background report
The Treaty on the establishment of the EurAsEC was signed on October 10, 2000 in Astana and became effective on May 30, 2001 having been ratified by all member states.
The original members of the Eurasian Economic Community involved five states, namely: Belarus, Kazakhstan, Kyrgyzstan, Russian and Tajikistan.
Ukraine and Moldova have observer status since May 2002, Armenia has since January 2003. The Interstate Aviation Committee (IAC), Eurasian Development Bank (EDR) also have observer status.
The Eurasian Economic Community (EurAsEC) is an international economic organization established for effective promotion by the Customs Union member states of a Single Economic Space and for achieving of other goals and objectives related with integrating in economic and humanitarian areas.
The organization was established in full conformity with principles of the United Nations and standards of international law. It possesses international legal force. The organization features a well-defined structure and fixed decision-making and decision implementation mechanism.
The Community and its officials enjoy benefits and immunities to fulfill functions and achieve goals stated in the Treaty on the establishment of the EurAsEC and agreements of the Community in force.
In 2003 the Eurasian Economic Community became a United Nations General Assembly observer.
The supreme organ of the Eurasian Economic Community is the Interstate Council of the Eurasian Economic Community.

Not-for-profit organization “Foundation for Development of the Centre of Research and Commercialization” hereafter referred to as the Foundation, represented by Vice-President Stanislav A. Naumov, and the Union of Small Cities and Towns of the Russian Federation, represented by President Yevgeny M. Markov, hereafter collectively referred to as the Parties, being aware of mutual interest in long-term cooperation in innovation development at the level of small cities and towns and municipal districts, have entered into this Memorandum on the following:
PRELIMINARY STATEMENTS
1. On November 12, 2009, President of the Russian Federation D. A. Medvedev instructed the Government of the Russian Federation in his Message to the Federal Assembly to expand support of designers of advanced technologies throughout the country and prepare proposals on the creation in Russia of a powerful R&D centre. In March 2010, it was decided to organize a state-of-the-art scientific and technological complex for design and commercialization of new technologies in Skolkovo which will be a framework for favourable environment (special economic and legal conditions) for aggregation of intellectual capital that can generate innovations.
2. On May 21, 2010, as a part of creation of the innovation centre Skolkovo there was established the Foundation for Development of the Centre of Research and Commercialization. The Skolkovo Foundation was formed by the Russian Academy of Science, State Corporation “The Bank for Development and Foreign Economic Affairs (VNESHECONOMBANK)”», State Corporation “Russian Corporation of Nanotechnologies”, State Higher Education Institution “Bauman Moscow State Technical University” , Open Joint-Stock Company ”Russian Venture Company” and Fund for Assistance to Small Enterprises in the Scientific and Technical Areas. On September 28, 2010, the President of the Russian Federation signed the Federal Law on the Innovation Centre Skolkovo.
3. Guided by tasks set by the President of the Russian Federation and based on their experience and competence, the Parties intend to deepen cooperation in innovation development at regional and local (city, town or district) levels. The Parties note significant potential for implementation of joint initiatives and projects.
Article 1. General
1.1. The Foundation and the Union shall cooperate in strict conformity with the Constitution of the Russian Federation, universally recognized principles and standards of international law, international treaties of the Russian Federation, statutes and normative legal acts of the Russian Federation.
1.2. The subject hereof is to establish grounds for cooperation between the Foundation and the Union in the following areas:
- creation of favourable conditions for development and efficiency improvement of innovation environment in small cities and towns;
- taking agreed measures to improve regulatory and normative legal bases in innovation environment and commercialization of new technologies;
- forming positive public attitude to issues referred to the competence of the Foundation and activity of the Unit under this Memorandum;
- forming willingness of heads of small cities and towns to apply innovative technologies for more efficient handling urban problems;
- promotion of constructive dialogue between business and local authorities, development of public-private partnership to make users of innovative technologies and solutions that form an effective demand for innovations of small cities and towns;
- assistance with innovation development of Russian cities and towns through detection and promotion of best innovation practice for handling urban problems via public specialized Internet resources (for example, International library of best practices solutions to urban problems and urban development, www.urban-practice.com);
- assistance with investment prospects and promotion of investment projects at the local level;
- assistance with forming a system of quality of life, safety and energy efficiency indicators in cities and towns as measures to encourage heals of regions and municipality in adoption of innovative technological, managerial and urban planning solutions;
- assistance with qualitative enhancement of the role of small cities and towns in forming territorial agribusiness complexes as the base for innovation activity both in small cities and towns and districts.
1.3. The Foundation and the union shall support and implement jointly prepared programs, projects and events.
1.4. The Parties intend to cooperate to achieve the common purposes with taking into account of charter objectives and interests of each Party hereof.
1.5. As agreed by the Parties, the purpose of the first stage of performance hereof in cooperation in joint (together with other interested organizations) design of program for innovation development of small cities and towns and districts.
1.6. In the course of achievement of common purposes, the Parties shall build their relations on the basis of equality, honest partnership and mutual protection of interests.
Article 2. Obligations
The Parties undertake to:
2.1. Cooperate in preparation and implementation of program and events on development and commercialization of innovative solutions meeting the vital interests of small cities and towns.
2.2. Exchange information on their activities; notify each other of holding public events that affect interests of the Parties.
2.3. Participate in holding mutually agreed events and cooperative measures.
2.4. Exploit their opportunities for mutually agreed coverage of the activities of the Parties in the mass media.
2.5. Render every support in achieving by the Parties of their charter purposes.
2.6. Inform each other on decisions of their managing bodies and their public event overlay.
2.7. Provide their representatives with the opportunity to participate in public events jointly held by the Parties.
2.8. Exchange information and other materials related to their activity.
Article 3. Procedure for Cooperation between the Parties
3.1. For the purposes of performance hereof, the Parties have agreed the following forms of cooperation:
3.1.1. Prompt exchange of relevant information on issues referred to the competence and activities of the Parties in accordance with the subject hereof.
3.1.2. Formation of joint working and/or expert groups to prepare proposals referred to the competence of the Parties.
3.1.3. Mutual consulting, expert, organizational and methodical, information support.
3.1.4. Joint preparation of information materials on urgent issues referred to the competence of the Parties.
3.1.3. Holding other events aimed at performance hereof.
3.2. The information related to performance hereof shall not be subject to disclosure or transfer by any Party to third parties without written consent of other Party except for cases of disclosure and transfer of this information to government authorities on the grounds and in accordance with the procedure established by laws of the Russian Federation.
Article 4. Final Provisions
4.1. The Memorandum shall not constitute the obligations of the Parties to transfer their property (particularly, proprietary rights), transfer monetary funds, render services to and perform works for each other.
4.2. The Memorandum does not form a preliminary agreement. The Parties do not undertake to enter subsequently into other agreements (contracts) and are not entitled to force each other through the courts.
4.3. The Memorandum shall be effective from the date of its signature by the Parties and it shall remain in force for three years from the date of its signature unless the Parties decide to extend it.
4.4. The cancellation hereof shall not incur tacit termination of obligations arising from agreements (contracts) concluded by the Parties on the basis hereof.
4.5. All amendments hereto shall be in written form and signed by both Parties. They shall form an integral part hereof.
4.6. The Parties shall settle all disputes arising out from performance hereof in an amicable way.
4.7. The Memorandum is made in two copies of equal legal force, one for each Party.

Agreement on Cooperation between Not-for-profit Organization “Foundation for Development of the Centre of Research and Commercialization” and Association of Innovation Regions of Russia
This Agreement on cooperation is made between not-for-profit organization “Foundation for Development of the Centre of Research and Commercialization” (hereafter referred to as the Skolkovo Foundation) and Association of Innovation Regions of Russia (hereafter referred to as AIRR), hereafter referred to as the Parties.
1. Taking into account the solidarity in purposes of the Parties in encouragement of research activity in the following areas:
- energy efficiency and energy saving, particularly design of innovation energy technologies;
- nuclear technologies;
- space technologies, first of all in the field of telecommunications and navigation systems (particularly design of ground infrastructure);
- medical technologies in the field of design of equipment and drugs;
- strategic computer technologies and software.
2. The Parties express the willingness to carry out joint work.
2.1. To achieve the purpose, the Skolkovo Foundation shall:
- provide information on existing and promising fields of work of the Skolkovo Foundation;
- consult with AIRR about issues related to development of the innovation centre Skolkovo;
- together with AIRR, coordinate interaction with regional institutes for innovation development;
- engage youth specialists supported by AIRR in events held by the Skolkovo Foundation.
2.2. To achieve the purpose, AIRR shall:
- assist with submission of applications for gaining the participant status of the innovation centre Skolkovo creation and operation project (hereafter referred to as the Skolkovo project);
- assist in creation of conditions for transfer of production of new products designed by the Skolkovo project residents in regions;
- jointly arrange unified inter-regional expert panels on scientific and technological development;
- participate in regular road shows of the Skolkovo Foundation in the regions;
- support modernization of bachelor-level programs and assist with their implementation in regional universities for further education in the Skolkovo Technological University;
- assist with selection and sending of promising students and post-graduate students from regions for participation in the UMNIK-Skolkovo program;
- assist with creation of competence and leadership centres in regions within priority areas of research of the Skolkovo Foundation;
- assist with search of co-investors to support research programs of the Skolkovo project participants;
- assist with search of sites for implementation of technology transfer projects (particularly, clinic centres for clinical testing of projects of cluster “Biomedical Technologies”);
3. The Parties express the willingness to cooperate in formation of a modern regulatory and legal framework which is necessary to adopt new technologies.
4. For the purposes of performance hereof, the Parties shall form a joint working group.
5. The Agreement shall be effective upon its signature by the Parties and it shall remain in force during one year after its signature. By mutual consent of the Parties, the Agreement may be extended for a term determined by the Parties.

The Ministry of Communications and Mass Communication of the Russian Federation, represented by Deputy Minister of Communications and Mass Communication of the Russian Federation I. I. Massukh, acting on the basis of the power of attorney, Not-for-Profit Organization “Foundation for Development of the Centre of Research and Commercialization” (hereafter referred to as the Foundation), represented by Vice-President for Government and Public Relations S. A. Naumov, acting on the basis of the power of attorney No. 9 dated March 10, 2011, and Not-for-Profit Partnership “High Tech Technopark Association” (hereafter referred to as the Association), represented by Director A. V. Shpilenko, acting on the basis of the Charter, hereafter referred to as the Parties, in compliance with Federal Law No. 244-FZ of September 28, 2010, On the Innovation Centre Skolkovo (hereafter referred to as the Law), have entered into this Agreement on the following:
1. General
1.1. The purposes of the Agreement is to determine the main lines of cooperation between the Parties on issues of mutual interest related to the activity of the innovation centre Skolkovo (hereafter referred to as the Centre) in the main areas of its research activity, namely: energy efficiency and energy saving, particularly design of innovation energy technologies; nuclear technologies; space technologies, first of all in the field of telecommunications and navigation systems (particularly design of ground infrastructure); medical technologies in the field of design of equipment and drugs; strategic computer technologies and software.
1.2. In the course of performance hereof, the activity of the Parties shall be based on the Law, other normative legal acts of the Russian Federation, by-laws and other legal acts approved by the Parties.
2. Performance of the Agreement
2.1. For the purposes of performance hereof, the Parties shall:
2.1.1. form joint working, expert, advisory and other bodies (councils, commissions, groups) from specialists of the Parties and engage, when necessary, outsourced specialists to settle issues arising from performance hereof;
2.1.2. run joint scientific, practical, topical congresses, conferences, seminars, exhibitions and other events;
2.1.3. engage in cooperation organizations which carry out their activity within the creation and operation of the Skolkovo centre project, and organizations which are the members of the Association;
2.1.4. jointly prepare and present proposals on improvement of legislation of the Russian Federation in the determined scopes of activity in accordance with the established procedure;
2.1.5. jointly participate in international cooperation on issues related to performance hereof;
2.1.6. cooperate in exchange of information and experience gained from monitoring scientific discoveries, inventions and research activity;
2.1.7. hold activities to assist with attraction of investments and determination of priorities in innovation development in the main areas of research activity and to engage skilled employees in respective units of the Foundation;
2.1.8. assist, in accordance with the statutory procedure, organizations which participate in cooperation under the Agreement with patenting of inventions, useful models, production prototypes and registration of trademarks.
2.2. For the purposes of performance hereof, the Ministry of Communications and Mass Communication of the Russian Federation shall:
2.2.1. assist in distribution of information on the activity of the Foundation and Association in accordance with the established procedure, particularly at the international level;
2.2.2. arrange engagement of executive state government bodies of the Russian Federation and executive state government bodies of constituents of the Russian Federation in participation in cooperation under the Agreement
2.2.3. consult the Parties on legislative practice in the established lines of research activity for the purposes of performance hereof.
2.3. For the purposes of performance hereof, the Foundation or its subsidiary shall:
2.3.1. provide applicants recommended by the Association with consulting assistance in preparation of applications for the participant status of the Skolkovo project;
2.3.2. provide applicants recommended by the Association with consulting assistance in filling out of applications and submission of innovation projects for examination for the purposes of providing financial support (grants).
2.4. For the purposes of performance hereof, the Association shall:
2.4.1. nominate candidates of experts for Expert Boards of the Foundation to carry out preliminary examination of projects for awarding the participant status of the Skolkovo project and examination of projects for providing financial support (grants);
2.4.2. accumulate innovation projects of technopark residents belonging to the Association which comply with the main areas of research activity of the Centre and propose technopark residents belonging to the Association for submission of application for gaining the participant status of the Skolkovo project;
2.4.3. cooperate with the Foundation in selection of innovation projects and advise the Foundation about innovation projects implemented by technopark residents belonging to the Association in the main areas of research activity of the Centre for providing financial support (grants);
2.4.4. advise the Foundation about candidates for partners (strategic, research and education partners, investors) which carry out their activity on the base of technoparks belonging to the Association;
2.4.5. cooperate on development of workforce capacity of the Foundation and nominate specialists working on the base of technoparks belonging to the Association to be engaged in implementation of projects and experience exchange with respective units of the Foundation in the main areas of research activity of the Centre;
2.4.6. participate in conferences and other events organized by the Foundation on a regular basis, but at least twice a year, and announce medium-term technology development program in the priority areas.
2.5. When necessary, the Parties jointly hold events aimed to establish a representative office of the Association in the territory of the Centre.
3. Final Provisions
3.1. No Party shall provide any third parties with the information received under this Agreement without written consent of the other Party.
3.2. The Parties shall take measures to ensure reliability and objectivity of the information provided and, when necessary, correct and amend it without delay.
3.3. The Parties shall carry on coordinated information policy in respect of performance hereof.
3.4. All matters in difference between the Parties in relation to interpretation and application hereof shall be settled by the Parties through mutual consultations.
3.5. The Parties may cooperate on issues not regulated herein on the basis of supplementary minutes hereto.
3.6. The Agreement shall be of unlimited duration and it shall be effective from the date of its signature by the Parties.
3.7. The Agreement may be amended or terminated by mutual consent of the Parties.
3.8. The Agreement is made in three two copies of equal legal force, one for each Party.

Article 1
The purpose hereof is organizational, economical and technical cooperation between the Parties aimed at commercialization of regional research and technology and complex innovation development of Astrakhan Oblast.
Article 2
To achieve the purpose hereof, the Parties shall organize cooperation in the following main lines:
- ensuring a complete cycle of innovation process in Astrakhan Oblast which includes education and research engineering, experimental development, adoption and commercialization of the results;
- assistance in formation and development of efficient innovation infrastructure;
- assistance in implementation of innovation projects in preferred directions for development of science, technologies and engineering in the Russian Federation in accordance with the list of critical technologies of the Russian Federation and in preferred directions for innovation and research and technology projects;

- building of an information support system with the view to analyze experience in adoption of new technologies and decisions and transfer it to other regions of the Russian Federation, holding forums, seminars and other events;
- assistance in development and strengthening of inter-regional and international links with Astrakhan Oblast in the field of innovation development.
The Parties shall develop cooperation though exchange of ideas, information, experience, holding joint seminars, scientific conferences, regional sessions of practical consulting, implementation of joint projects and other agreed forms of cooperation in development of innovation activity.
Article 3
To maintain cooperation under this Agreement, in compliance with requirements of applicable normative legal acts of the Russian Federation and normative legal acts of Astrakhan Oblast, the Parties undertake the following obligations:
3.1. The Skolkovo Foundation shall:
- render analytical and expert support to research and development projects in Astrakhan Oblast, engage in the analysis specialists from the largest international corporations and leading analytical centres from the list of the Skolkovo Foundation experts;
- examine promising research and development projects in Astrakhan Oblast to select the best of them and to provide them with financial support in the form of grants in compliance with Federal Law No. 244-FZ of September 28, 2010, On the Innovation Centre Skolkovo, the Charter of the Skolkovo Foundation and internal documents of the Skolkovo Foundation that regulate the procedure for financing participants of the innovation centre Skolkovo creation and operation project;
- submit information on development and business operation plans of Skolkovo institutes and assist with search of partners for adoption of latest technologies and developments in Astrakhan Oblast;
- assist in cooperation arrangements with industrial enterprises with the view to produce models, prototype samples, tools and equipment which are required to implement innovation projects of Astrakhan Oblast;
- provide the most efficient and talented young scientists from Astrakhan Oblast with access to educational programs and social events of participants of the innovation centre Skolkovo creation and operation project;
- assist innovative companies which carry out their activity in the territory of Astrakhan Oblast in contact-making with participants and experts of the Skolkovo Foundation with the view to improve the quality of preparation of innovation projects;
- assist with organization of forums, conferences and other public events in Astrakhan Oblast with the view to exchange experience in innovation development.
3.2. The Astrakhan Oblast Government shall:
- hold activities to create favorable legal, economic, financial and other conditions for development of innovation activity in Astrakhan Oblast;
- render assistance to the Skolkovo Foundation in organizational issues related to selection and financing of innovation projects in the territory of Astrakhan Oblast;
- promote formation of a congenial investment climate in Astrakhan Oblast;
- assist the Skolkovo Foundation with information events;
- form and update the regional database of commercially attractive innovation projects for venture business, organize preliminary examination of them with a view to advisability of state support, promote projects in the interests of the Parties hereof;
- monitor investment and innovative climate in the region, engage higher education institutions in research work to study the innovative capacity of Astrakhan Oblast, determine promising projects for venture investors and to prepare proposals on increasing the efficiency of the regional innovation system;
- stimulate development of innovation projects in the territory of Astrakhan Oblast within the limits of applicable laws;
- assist in prestige enhancement of innovation activity and venture investment through broad promotion of innovative companies’ achievements in mass media, on TV, on the air, in print media and over the Internet.
Article 4
In the course of performance hereof, the Parties may sign supplementary agreements (contracts) on joint activities. Such draft agreements (contracts) are worked out and prepared in compliance with applicable laws.
Should any Party consider that any joint project implemented in the course of cooperation will lead or has led to results of intellectual activity, the Party shall immediately hold consultations on protection of the results.
The rights to the obtained results of intellectual activity, particularly exclusive rights to such results, shall be assigned in compliance with laws of the Russian Federation.
Article 5
The information received in the course of performance hereof and recognized confidential by any Party shall be recognized confidential by other Parties.
Article 6
For the purposes of performance hereof, representatives of all interested Parties shall form a working group to co-ordinate joint works on development of innovation activity in Astrakhan Oblast.
Article 7
This Agreement shall involve no rights and obligations of the Parties arising from other agreements (contracts) in which the Parties participate.
Article 8
The bodies authorized by the Parties to perform the Agreement:
Vice-President S.A. Naumov on behalf of the Skolkovo Foundation;
Ministry of Economic Development of Astrakhan Oblast on behalf of the Astrakhan Oblast Government.
Any Party shall immediately notify the other Party of substitution of its bodies authorized to perform the Agreement.
Article 9
As agreed by the Parties, the Agreement may be amended which shall be documented in the form of separate supplementary agreements forming an integral part hereof.
Article 10
The Agreement shall be effective from the date of its signature and it shall remain in force until December 31, 2016.
The Agreement shall be extended for further five-year periods unless any Party notifies the other Party in writing of its intention to terminate the Agreement at least six months prior to the due date of its expiration.
Termination of the Agreement shall not affect fulfillment of unfulfilled obligations under the Agreement unless otherwise agreed by the Parties.
The Agreement is made in Astrakhan in two copies of equal legal force in Russian, one for each Party.

Agreement between the Foundation for Development of the Centre of Research and Commercialization of New Technologies and the Kaliningrad Oblast Government on Cooperation and Joint Work in Innovation Development
The Kaliningrad Oblast Government represented by governor Nikolay N. Tsukanov, acting on the basis of the Charter (fundamental law), on the one part, and the Foundation for Development of the Centre of Research and Commercialization of New Technologies (hereafter referred to as the Skolkovo Foundation) represented by Vice-President Stanislav A. Naumov, acting on the basis of the Power of Attorney No. 10 dated March 10, 2011, on the other part, hereafter collectively referred to as the Parties, being aware of the importance of mutual cooperation and necessity of joint actions, have entered into this Agreement on the following.
Article 1
The purpose hereof is organizational, economical and technical cooperation between the Parties aimed at commercialization of regional research and technology and complex innovation development of Kaliningrad Oblast.
Article 2
To achieve the purpose hereof, the Parties shall organize cooperation in the following main lines:
- research engineering, experimental development, adoption and commercialization of the results;
- assistance in formation and development of efficient innovation infrastructure;
- assistance in implementation of innovation projects in preferred directions for development of science, technologies and engineering in the Russian Federation in accordance with the list of critical technologies of the Russian Federation and in preferred directions for innovation and research and technology projects;
- selection and examination of the most attractive innovation projects;
- practicing mechanisms for implementation of innovation projects (development of ideas and process designs), furtherance of forming of a process start-up pool in Kaliningrad Oblast;
- building of an information support system with the view to analyze experience in adoption of new technologies and decisions and transfer it to other regions of the Russian Federation, holding forums, seminars and other events.
The Parties shall develop cooperation though exchange of ideas, information, experience, holding joint seminars, scientific conferences, regional sessions of practical consulting, implementation of joint projects and other agreed forms of cooperation in development of innovation activity.
Article 3

3.2. The Kaliningrad Oblast Government shall:
- hold activities to create favorable legal, economic, financial and other conditions for development of innovation activity in Kaliningrad Oblast;
- render assistance to the Skolkovo Foundation in organizational issues related to selection and financing of innovation projects in the territory of Kaliningrad Oblast;

AGREEMENT between the Foundation for Development of the Centre of Research and Commercialization of New Technologies (the Skolkovo Foundation) and the Samara Oblast Government on Cooperation and Joint Work in Innovation Development and Commercialization of Results of Intellectual Activity
Not-for-profit organization “Foundation for Development of the Centre of Research and Commercialization of New Technologies” (hereafter referred to as the Foundation) represented by President Viktor F. Vekselberg, acting on the basis of the Charter, on the one part, and the Samara Oblast Government, represented by Vladimir V. Artyakov, acting on the basis of the Charter of Samara Oblast, on the other part, hereafter referred to as the Parties, have entered into this Agreement on the following.
1. General
1.1. The purpose of the Agreement is long-term cooperation in organizational, economic and scientific and technological issues aimed at arranging research and the commercialization of development projects, creating new employment in the high-tech economy sector in the form of partnership on the base of research and educational institutions, innovation centres, industrial enterprises and other organizations in Samara Oblast.
1.2. The Agreement stipulates participation of the Parties in running events provided for by national and regional target innovation development programs and in executing major infrastructure projects carried out in the territory of Samara Oblast, namely: high-tech technopark “Zhigulevskaya Dolina” and industrial production special economic zone “Tolyatti”.
1.3. The objectives hereof are as follows:
1.3.1. Providing the modernization process of economy of Samara Oblast with modern technologies, goods and services designed in the course of implementation of the innovation centre Skolkovo creation and operation project (hereafter referred to as the Skolkovo project);
1.3.2. Regular increase in qualification of employees from companies of Samara Oblast dealing with research and technological enterprise with the use of infrastructure of the innovation centre Skolkovo.
1.4. The Parties’ actions on performance hereof shall be based on Federal Law No. 244-FZ of September 28, 2010, On the Innovation Centre Skolkovo and other normative legal acts of the Russian Federation, Samara Oblast and documents regulating the Foundation’s activity.
2. Subject of Cooperation. Procedure for Cooperation between the Parties
The Parties have established that innovation process shall involve selection of lines of research, organization of research, prototype production, property registration, industrial production, sale of products and training of scientific and working personnel and have agreed to carry out the following actions to ensure innovation process in the territory of Samara Oblast:
The Samara Oblast Government
For the purposes of facilitation of adoption of modern technologies, goods and services in the territory of Samara Oblast, the Samara Oblast Government shall:
2.1. ensure informing organizations and enterprises which carry out research and design and experimental activity in the territory of Samara Oblast of rules of participation in the Skolkovo project;
2.2. arrange forming the list of first priority needs of the region for innovation technologies and developments and map technological needs of enterprises which may be prospective customers of projects of the innovation centre Skolkovo participants;
2.3. organize work on shaping of demand for innovation products and developments in housing and public utilities and social sector of Samara Oblast;
2.4. organize monitoring and preparation of proposals on possible utilization of production and engineering capacity of Samara Oblast in prototype production and commercialization of results of research activity of the innovation centre Skolkovo participants;
2.5. organize monitoring and preparation of proposals on participation of specialized departments of higher education institutions, research organizations, design offices, engineering centres of Samara Oblast in forming a technological audit system on the base of scientific and technological foresights, sectoral strategies and national and/or regional target programs;
For the purposes of determination of individual competences and selection of promising young specialists, the Samara Oblast Government shall:
2.6. provide information on recipients of national and/or regional prizes and winners in science and technology for the last 10 years in compliance with the requirements of applicable laws on transfer of personal data;
2.7. provide the list of term paper and graduation topics of students of higher education institutions of Samara Oblast focused on meeting future needs for research and design and experimental projects;
2.8. provide information on education and research institutions that are ready to participate in non-profit partnership to train specialists and to organize research in the main lines of activities of the innovation centre Skolkovo;
2.9. arrange filling of applications by individuals and legal entities in accordance with Regulation on award and forfeiture of the participant status in the innovation centre Skolkovo creation and operation project.
The Foundation shall:
2.10. provide information on mechanisms and conditions of gaining status of member Expert Boards for main lines of activity of the innovation centre Skolkovo;
2.11. provide cumulative information on activity of key partners and participants of the Skolkovo project;
2.12. inform key partners and participants of the Skolkovo project of possible utilization of production and engineering capacity of Samara Oblast in prototype production and commercialization of results of research activity;
2.13. examine research and developments carried out in the territory of Samara Oblast for compliance with scientific and technological foresights in main lines of activity of the innovation centre Skolkovo with the view to select the best projects and render to them financial support in the form of grants in accordance with the rules for provision of the Skolkovo project participants with financing;
2.14. select projects of the innovation centre Skolkovo participants that may be implemented in the territory of Samara Oblast based on the list of first priority needs for innovation technologies and developments;
2.15. direct activity of the Foundation’s subsidiaries towards meeting needs for innovation projects of Samara Oblast, inform other institutes for development of needs of Samara Oblast for innovation projects;
2.16. assist in attraction of foreign highly-skilled professionals which have significant authority in investment and/or research environment with the view of their participation in innovation projects of Samara Oblast;
2.17. assist in the search for foreign partners, partners from other regions of the Russian Federation and CIS countries which are interested in development, acquisition or commercialization of innovation research and developments of Samara Oblast;
2.18. provide the most efficient and talented young scientists from Samara Oblast and employees of enterprises and companies of Samara Oblast dealing with research and technological enterprise with access to educational programs and social events of participants of the Skolkovo project. Arrange training/internship for specialists from Samara Oblast by areas of cooperation in the Skolkovo Institute of Science and Technology or Massachusetts Institute of Technology.
3. Procedure for Performance of the Agreement
3.1. For the purposes of performance hereof the Parties shall:
- control implementation of decisions made for performance hereof and reliability, objectivity and proper use of the information provided in the course of performance hereof on a quarterly basis;
- form joint working groups from the specialists of the Parties and engage, when necessary, outsourced specialists;
- co-ordinate proposals and draft laws and other normative legal acts on ensuring innovation development;
- render organizational and methodical support to innovative companies in the legal, normative-technical and financial fields.
3.2. The activity of the Parties and joint working groups on performance hereof shall be carried out in accordance with the Plan of Urgent Actions to perform the agreement approved by the Parties and forming an integral part hereof.
3.3. Annual results hereof shall be presented for public discussion during the Inter-regional Economic Forum in Samara in the presence of participants and partners of the innovation centre Skolkovo.
3.4. As agreed by the Parties, the Agreement may be amended which shall be documented in the form of separate supplementary agreements forming an integral part hereof.
3.5. Should any Party consider that any joint project implemented in the course of cooperation will lead or has led to results of intellectual activity, the Party shall immediately hold consultations on protection of the results. The rights to the obtained results of intellectual activity, particularly exclusive rights to such results, shall be assigned in compliance with laws of the Russian Federation.

Agreement on Not-for-Profit Partnership “Ural Scientific Research Educational Centre”
The Sverdlovsk Oblast Government, represented by Chairman Anatoly L. Gredin, Federal State Autonomous Higher Education Institution “Ural Federal University named after the first President of Russia B. N. Yeltsin” represented by Rector Viktor A. Koksharov, not-for-profit organization “Foundation for Development of the Centre of Research and Commercialization of New Technologies” represented by Vice-President Stanislav A. Naumov, Institution of the Russian Academy of Science “Ural Division of the Russian Academy of Science” represented by Chairman Valery N. Charushin and not-for-profit partnership “Ural Pharmaceutical Cluster” represented by Executive Director Alexander P. Petrov, hereafter referred to as the Parties, have supported formation of a not-for-profit partnership “Ural Scientific Research Educational Centre”.
Whereas, over the last years a large regional biopharmaceutical research centre has been formed in Sverdlovsk Oblast. It includes the following:
- scientific and technological competencies in the form of internationally recognized authoritative science school of biotechnological and chemical synthesis of pharmaceuticals which is represented by 5 academic and 7 sectoral research institutes, Ural Federal University and Ural Medical Academy, their highly qualified scientists and engineers, research and training base, and residents of the innovation centre Skolkovo;
- complex of experimental-industrial and production competencies that ensure finishing, scaling-up and introduction in mass production of designed biopharmaceutical substances and pharmaceuticals which consists of 12 pharmaceutical enterprises of the region, including high tech enterprises that produce import-substituting pharmaceuticals, operating in compliance with GMP standards and are consolidated into the not-for-profit partnership “Ural Scientific Research Educational Centre”;
- business competencies represented by branching distribution network of the cluster products, both at the hospital levels and via specialized medical centres (including centres established within the cluster, namely: dialysis and diabetic centres, Ural medical nuclear centre, etc.) and electronic trading platform for participation in auctions, tenders, competitions in product delivery of the cluster enterprises to regions of Russia and CIS countries;
- the opportunity to obtain state support in compliance with federal laws and laws of Sverdlovsk Oblast.
The Parties have agreed that the main purpose of establishment of the not-for-profit partnership “Ural Scientific Research Educational Centre” is to form in Sverdlovsk Oblast and subsequently in the territory of the Ural Federal District the most favourable efficient environment to ensure the full creation of domestic import-substituting substances and pharmaceuticals of international standards and to perform thereby the mission to ensure the medicinal safety of Russia.
To achieve the purpose, the Parties have agreed as follows:
Article 1
To create in the not-for-profit partnership “Ural Scientific Research Educational Centre” all required conditions for further effective development of formed scientific schools of organic synthesis, biomedical technologies and adoption and design of IT technologies and nuclear technologies in the Urals.
Article 2
To support creation of joint Competence Centres and Multiple-Access Centres within non-profit partnership “Ural Scientific Research Educational Centre” in the following organizations: Federal State Autonomous Higher Education Institution “The B.N. Yeltsin Ural Federal University”, Institute of Organic Synthesis named after I. Ya. Postovsky of the Ural Division of the Russian Academy of Science, Institute of Immunology and Physiology of the Ural Division of the Russian Academy of Science, Institute of Chemistry of Komi Research Centre of the Ural Division of the Russian Academy of Science and other institutions of the Ural Division of the Russian Academy of Science.
Article 3
To create several units in non-profit partnership “Ural Scientific Research Educational Centre”, namely research, educational and experimental-industrial units, for the purposes of commissioning innovation projects.
Article 4
The main objectives of non-profit partnership “Ural Scientific Research Educational Centre” will be as follows:
1. To increase supply of modern vital and essential medicines and medical products, including those developed and commissioned in the territory of the Ural Federal District, to the population and institutions of health services and Armed Forces of the Russian Federation;
2. To increase competitive capacity of pharmaceutical and medical industries of the Ural Federal District through its modernization and adoption of medicine development and production standards in compliance with the international requirements;
3. To ensure bulk development and commission of innovative medicines and medical products in the territory of the Ural Federal District and to support export of intellect-based products, particularly through development of additional financing mechanisms for original projects;
4. To search in the territory of the Ural Federal District for innovation projects in the areas established by the Parties as priorities for cooperation:
- System biomedicine
- System biopharmaceutics
- System bioinformatics
- Fine organic synthesis
- Industrial biotechnologies
5. To apply competencies of the innovation ecosystem of the Foundation and Biomedical Technologies Cluster to integrate the world scientific community and to use current best practices in modern R&D centres and universities.
6. To practise models of cooperation of medicines and medical products creators and producers which ensure the continuity of the innovation cycle in industries based on innovative small enterprises;
7. To improve training system for specialists of the pharmaceutical and medical industry, particularly to design new programs for detection, support, training and retraining of young innovative enterprisers;
8. To forge international cooperation in development and production of high tech products in the field of living systems;
9. To establish an innovation ecosystem on the base of the Centre that will be able to integrate existing competencies of the participants and create effective conditions for sustainable development of advanced innovation projects in biomedicine biotechnologies.
Article 5
The main lines of activity of not-for-profit partnership “Ural Scientific Research Educational Centre” will be as follows:
1. To integrate institutional, academic and applied science and high tech business into pharmaceutical and medical industries through business incubators for small innovative entrepreneurs (start-ups) on the base of the Centre and the University.
2. To form financing systems for R&D projects in the form of public-private partnership.
3. To develop complementary infrastructure and material and technical basis of the Centre participants that are necessary to design and commission innovation pharmaceutical and medical products.
4. To detect, train and retrain personnel of a new type for research and entrepreneurial activity in the innovation high tech business.
5. To form on the base of the Centre an efficient search, examination, structuring and financing system at various stages of innovation projects in the areas established by the Parties as priorities.
6. To form on the base of the Centre a structure to support intellectual property created or to be created in the course of their activity and to assist with its protection and to introduce it to international markets.
7. To form a system of cross-utilization by the participants of created and being created Competence Centres and Multiple-Access Centres.
8. To establish joint Competence Centres and Multiple-Access Centres.
9. To create the image of the Centre and promote the Centre and its participants in professional associations and wide public as the centre for innovation development of domestic pharmaceutical and medical industries;
10. To create networks of world-class expert in the field of living systems;
11. To integrate the Centre participants internationally.

PARTNERSHIP AGREEMENT between the Skolkovo Foundation and Ulyanovsk Oblast on Development of Nuclear Innovation Cluster in Dimitrovgrad, Ulyanovsk Oblast
This Partnership Agreement for development of the Nuclear Innovation Cluster in Dimitrovgrad (Ulyanovsk Oblast) is made between:
the Foundation for Development of the Centre of Research and Commercialization of New Technologies (hereafter referred to as the Skolkovo Foundation), represented by President Viktor F. Vekselberg, acting on the basis of the Charter, and Ulyanovsk Oblast (hereafter referred to as Ulyanovsk Oblast), represented by Governor Sergey I. Morozov, acting on the basis of the Charter of Ulyanovsk Oblast, hereafter collectively referred to as the Parties.
Whereas, subject to the Mandate, the primary objective of the Skolkovo Foundation is to create and maintain competitive conditions and environment for advanced research and development activities with subsequent commercialization of their results and for forming a new generation of first-class specialists in the priority areas of technological development.
Whereas, Ulyanovsk Oblast is ready to stimulate innovation development of its economy, particularly through support in forming and development of the Nuclear Innovation Cluster in Dimitrovgrad (Ulyanovsk Oblast), the Parties hereby agree the main organizational and essential parameters of partnership for development of Nuclear Innovation Cluster in Dimitrovgrad (Ulyanovsk Oblast) which include the following:
Article 1
1. The primary purpose of partnership is to support forming and development of the Nuclear Innovation Cluster in Dimitrovgrad (Ulyanovsk Oblast).
Article 2
2. The main directions for development of the Nuclear Innovation Cluster are as follows:
2.1. Research, development of new technologies and technical decisions, prototype production and operation of equipment and NFC materials (including MOX-fuel, fast neutron reactors, etc.);
2.2. Radioisotope production and purification, generator production;
2.3. Nuclear medicine technologies, particularly development of diagnostic and treatment techniques, creation of new isotopes and radio-pharmaceuticals on their base;
2.4. Other application of radiotechnologies other than in energy and defense, namely: sterilization, purification and disinfection, changes in inner structure and properties of materials, non-destructive evaluation and monitoring.
Article 3
3. Under the Agreement, the Skolkovo Foundation shall, for its part, assist in development of Nuclear Innovation Cluster through:
3.1. Assistance in development of international contacts of the Nuclear Innovation Cluster;
3.2. Presentation of the Nuclear Innovation Cluster and its certain projects as a part of international meetings and contacts program of the Skolkovo Foundation;
3.3. Promotion and support of certain projects of the Nuclear Innovation Cluster in the course of business of the Skolkovo Foundation;
3.4. Assistance in engagement of foreign partners in the Nuclear Innovation Cluster.
Article 4
4. Under the Agreement, Ulyanovsk Oblast shall, for its part:
4.1. Participate in forming a modern cluster development management system which includes such mechanisms as the Cluster Council, the Cluster Secretariat (a design office responsible for coordination of practical steps to develop the Nuclear Innovation Cluster and its certain projects), Association of the Nuclear Innovation Cluster Participants, the Nuclear Innovation Cluster Development Fund;
4.2. Stimulate preparation of projects for consideration by the Skolkovo Foundation;
4.3. Participate in co-financing of projects implemented within the Nuclear Innovation Cluster which receive financial and/or technical support from the Skolkovo Foundation from the Nuclear Innovation Cluster Development Fund or other sources;
4.4. Implement the comprehensive program for economic and social development of Dimitrovgrad, Ulyanovsk Oblast.
Article 5
5. For the purposes of performance hereof, the Parties shall jointly carry out the following activities:
5.1. Give seminars on attracting investments and other issues related to the innovation system development for innovative companies working within the Nuclear Innovation Cluster;
5.2. Arrange negotiations between participants of the Nuclear Innovation Cluster and prospective partners with the view to attract investments, new technologies or innovative product orders.
Article 6
6. For the purpose of effective coordination within partnership under the Agreement, the Parties shall form a Coordination Council which shall consist of representatives of the Ulyanovsk Oblast Government, the Skolkovo Foundation (represented by management of the Nuclear Innovation Cluster of the Skolkovo Foundation), representatives of Dimitrovgrad (Ulyanovsk Oblast) Nuclear Innovation Cluster Council;
Coordination Council is intended for joint consideration of issues arising in the course of performance hereof with the view to make agreed decisions.
Article 7
7. General Provisions
7.1. The Parties shall cooperate on a grant basis. The terms and conditions provided for each Party herein shall not constitute grounds for reciprocal financial claims and legal actions.
7.2. Participation of any Party in this Agreement shall not take priority of other similar agreements and shall not restrict the rights of the Parties to participate in other agreements.
7.3. The Parties shall settle all issues in dispute arising in the course of performance hereof only in an amicable way.
7.4. The Parties shall consider issues arising in the course of performance hereof, made agreed decisions on them and, when necessary, submit proposals on issues which require their respective decisions to interested federal state government bodies and state government bodies of Ulyanovsk Oblast in accordance with the established procedure.
7.5. This Agreement is designated to create conditions which may result in prevention, restriction or elimination of competition and monopoly activity.
7.6. The Parties may detail the Agreement through entry into supplement agreements which make mutual obligations of the Parties more specific.
7.7. The Agreement is made in two copies of equal legal force in Russian, one for each Party.
7.8. The Agreement shall be effective from the date of its signature by the Parties.
